1. Agreement to Terms

By accessing or using Certico ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

These terms apply to all users of the Service, including brands, suppliers, and visitors.

2. Description of Service

Certico provides a platform for creating, managing, and sharing Digital Product Passports (DPPs) for the fashion and textile industry. Our services include:

• Digital Product Passport generation and hosting
• QR code generation for product labeling
• Supply chain transparency tools
• Supplier portal and directory
• Analytics and reporting

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload false, misleading, or fraudulent product information
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose
• Misrepresent your products' environmental credentials ("greenwashing")

5. Data Accuracy

You are solely responsible for the accuracy of the data you enter into the Service. This includes:

• Product specifications and descriptions
• Material composition percentages
• Supply chain and manufacturing information
• Environmental impact data (carbon footprint, water usage)
• Certifications and compliance claims

Certico does not independently verify the accuracy of user-provided data. False or misleading information may result in account termination.

6. Intellectual Property

Our Content

The Service, including its original content, features, and functionality, is owned by Certico and protected by international copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of data and content you upload to the Service. By uploading content, you grant Certico a license to use, store, and display that content as necessary to provide the Service.

7. Subscription & Payments

Some features require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your chosen plan
• Provide valid payment information
• Accept automatic renewal unless cancelled

Prices are subject to change with 30 days' notice. Refunds are handled on a case-by-case basis.

8. Free Tier Limitations

The free tier includes up to 10 Digital Product Passports. Free accounts may be subject to:

• Feature limitations
• Storage limits
• Removal after extended periods of inactivity (12+ months)

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance with advance notice when possible
• Modify or discontinue features with reasonable notice
• Suspend accounts that violate these terms

10. Data Protection & Privacy

Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, and protect your data.

We comply with applicable data protection regulations including GDPR for users in the European Union.

11. ESPR Compliance Disclaimer

While Certico is designed to help with EU Ecodesign for Sustainable Products Regulation (ESPR) compliance, we do not guarantee that use of our Service will ensure regulatory compliance. You are responsible for understanding and meeting your own regulatory obligations.

12. Limitation of Liability

To the maximum extent permitted by law, Certico shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities
• Regulatory penalties or fines
• Reputational damage

Our total liability shall not exceed the amount paid by you to Certico in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Certico, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Inaccurate data or claims made through your passports

14. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or the Service
• Is fraudulent or illegal

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

17. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
